Requirements for Hong Kong Company Incorporation
- The company name can be in English or Chinese;
- The company must appoint a company secretary (position taken by a Hong Kong permanent resident or Hong Kong company) and must have a registered office with a valid physical address in Hong Kong (P.O. boxes will not be accepted);
- The company must appoint at least one individual director. If the Hong Kong company to be incorporated is not a subsidiary of a listed company, it may appoint a corporate director;
- Minimum one shareholder;
- The detailed information of the directors, shareholders, and secretary of the company must be kept in the Companies Registry and be available on public record;
- All companies must file annual returns with the Companies Registry (CR has become more strict on this requirement, penalties apply for late filings.);
- All companies are required to update their Business Registration Certificates and submit audited accounts to the Inland Revenue Department annually.
